Memorandum of Understanding

Between

Shatt Al-Arab University College, Iraq

And

Jadara University, Jordan

1. Recognizing the mutual benefits to be gained through a cooperative program
promoting scholarly activities and international understanding, Shatt Al-Arab
University College, the First Party, and Jadara University, the Second Party,
henceforth referred t as the two parties, have agreed to enter into this non-
binding Memorandum of Understanding (MoU) that enables them to work
together in the pursuit of the objectives set out herein:
2. This MoU establishes the framework through which the two parties can foster
and develop a cooperative relationship between them through such activities as:
 Mobility of faculty and/or staff;
 Mobility of graduate and/or undergraduate students;
 Joint research activities and publications;
 Participation in seminars and academic meetings;
 Special short-term academic programs;
 Utilizing available resources of both parties to serve joint academic
programs including launching a new branch of Jadara University in …………
and …………….
 Long-term joint ventures or projects such as building a Hospital for
academic purposes at/near Jadara University Campus, establishing a new
school in ………….., and building a Gaming Lab or other; as ……
 All business partnerships between the two parties can be either on
percentage basis, shares, joint ventures or any other business model while
any BM must be agreed upon in a separate agreement and signed by both
parties as in Clause 3.

3. The development and implementation of specific activities and projects
based on this MoU that will be negotiated separately between faculties,
schools or institutes which carry out the specific activities and projects.
Prior to commencement of any such activity or project, a specific
agreement identifying all the terms and conditions will be drawn up and
signed by both parties. Each party agrees to carry out the specific activities
and projects in accordance with the laws and regulations of the respective
countries after full consultation and approval.
4. It is understood that development and implementation of any type of
specific activities and projects, as outlined in Clause 2, shall depend on the
availability of resources and financial support of the parties concerned.
5. This MoU constitutes only the intention of the two parties for future
cooperation and does not constitute or create, and is not intended to
constitute or create, any legal binding or enforceable obligations.
6. This MoU may only be mended or modified by a written agreement
signed by the representatives of each party.
7. This MoU is valid for a period of five (5) years from the date of signing it
by the authorized signatories of each party. Each party shall review the
status of the MoU at the end of the five-year period to determine whether
it wishes the MoU to continue, and if so, any modifications that might be
necessary. The period of validity of this MoU may only be extended by the
mutual written consent of both parties.
8. This MoU may, at any time during its period of validity, be amended or
terminated by one of the parties upon prior notice in writing not later than
six months before the date of termination or amendment.
9. Any amendment or termination of the MoU shall not have an effect on
any specific activities or projects that are in accordance with Clause 3 and
are already in place at the time that the notice is provided, unless it is
agreed upon otherwise by the two parties.

Each party may disclose certain confidential information to the other
party in relation to any further proposal made under this MoU. Each party

therefore agrees that the consent of this MoU and the negotiations in
relation to any further proposal remains strictly confidential and each party
hereby undertakes not to disclose the same to any third party save for its
professional advisers without prior written consent of the other party
except where such disclosure is required by law.
This MoU is concluded in duplicate in English with all the texts having
equal legal force.
